IMPORTANT NOTICE

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE HONESTMONEY APP. YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU SHOULD NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

SECTION 14 BELOW CONTAINS A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER. BY USING THE SERVICES, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS.

1. Introduction and Acceptance

HonestMoney, LLC, an Arizona Limited Liability Company (“HonestMoney,” “Company,” “we,” “us,” or “our”), operates a mobile application (the “App”) and related services (collectively, the “Services”). By downloading, installing, accessing, or using the App or Services, you (“user,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”).

These Terms constitute a legally binding agreement between you and HonestMoney. If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the App or our website. Your continued use of the Services following any changes constitutes your acceptance of such changes.

2. Eligibility

To use the Services, you must:

Be at least 18 years of age or the age of majority in your jurisdiction of residence
Be a legal resident of the United States
Be capable of forming a binding legal contract
Not have been previously removed or banned from the Services by HonestMoney

The Services are not intended for anyone under the age of 18. We do not knowingly collect personal information from anyone under 18 years of age. If you are under 18, do not use the Services or provide any personal information to us.

The Services are only available to residents of the United States and are intended for use within the United States. Any access to or use of the Services by non-U.S. residents is prohibited.

3. About Our Services

HonestMoney is a technology company that operates a rewards platform. We are not a bank or financial institution. The Services allow you to earn rewards (“Rewards”) by completing various activities, including but not limited to:

Offer Wall Tasks: Completing offers, surveys, and tasks through our third-party offer wall partner, Revenue Universe
Game Downloads and Play: Downloading and playing games through our integration with Playtime Web (Adjoe)
Video Watching: Viewing advertisements through our Google AdMob integration

The Rewards earned through the Services are promotional in nature, have no cash value except as redeemable under these Terms, and can only be redeemed in accordance with these Terms.

4. Account Registration and Security

4.1 Account Creation

To access the full features of the Services, you must create an account (“Account”). When creating an Account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your Account information
Maintain the security of your Account credentials
Accept responsibility for all activities under your Account

You may only have one Account. Creating multiple accounts is strictly prohibited and may result in termination of all accounts and forfeiture of all Rewards.

4.2 Account Security

You are responsible for safeguarding your Account credentials and for all activities that occur under your Account. You must:

Keep your password confidential
Log out after each session on shared devices
Notify us immediately of any unauthorized access at [email protected]

4.3 Account Termination

You may terminate your Account at any time through the App settings. We may suspend, disable, or terminate your Account at any time, with or without cause, including if we determine that you have violated these Terms.

Upon termination, all Rewards in your Account will be forfeited and cannot be recovered.

5. Rewards Program

5.1 Earning Rewards

You may earn Rewards by participating in various activities offered through the Services:

a) Offer Wall (Revenue Universe)

You may earn Rewards by completing offers, surveys, sign-ups, downloading apps and other tasks provided through our third-party partner, Revenue Universe. Each offer is subject to specific terms and conditions set by Revenue Universe and/or the advertiser. We are not responsible for offers that are not credited due to incomplete tasks, technical issues with third-party providers, or advertiser decisions.

b) Game Downloads and Playtime (Adjoe/Playtime Web)

You may earn Rewards by downloading and playing games through our Playtime Web integration powered by Adjoe. Rewards are based on your playtime and engagement with participating games. By using this feature, you agree to Adjoe’s terms and privacy policy, available at: https://adjoe.io/privacy/

c) Video Watching (Google AdMob)

You may earn Rewards by watching video advertisements through our Google AdMob integration. You must watch the complete video advertisement to earn Rewards. Attempting to circumvent or manipulate video completion tracking is prohibited.

5.2 Reward Status

All Rewards earned are owned exclusively by HonestMoney until redeemed. The Reward balance displayed in your Account represents Rewards potentially allocated to you. We reserve the right to adjust your Rewards balance at any time to accurately reflect Rewards actually earned.

Rewards:

Have no cash value except as redeemable under these Terms
Are non-transferable
Cannot be combined with Rewards from other users
Do not accrue interest

5.3 Pending Rewards

When you earn Rewards, they may initially appear as “pending” before becoming available for redemption. The time required for Rewards to become available varies depending on the activity type, third-party partner verification, and fraud review processes. We make no guarantees regarding the timing of when pending Rewards will become available.

5.4 Redeeming Rewards

Minimum Redemption Threshold: You must have a minimum balance of redeemable Rewards equivalent to $25.00 USD to request a redemption (the “Minimum Redemption Threshold”). We reserve the right to modify this threshold at any time.

Redemption Methods: Rewards may be redeemed through payment methods available in the App, such as PayPal, cash cards, gift cards, or other methods as offered from time to time. Redemption options may be changed, added, or removed at our discretion.

Processing Time: Redemption requests are typically processed within 7-14 business days but may take longer depending on verification requirements and third-party processing times.

Redemption Limits: We may impose daily, weekly, or monthly limits on redemption amounts at our discretion.

5.5 Reward Adjustments and Reversals

We reserve the right to deduct, reverse, or cancel Rewards if:

Rewards were earned through fraud, manipulation, or violation of these Terms
An offer or activity is later reversed, refunded, or cancelled by a third-party partner
Technical errors resulted in incorrect Reward crediting
We determine, in our sole discretion, that the Rewards were not legitimately earned

5.6 Account Inactivity

Your Account will be deemed inactive if you do not earn or redeem Rewards for a period of one hundred eighty days (180) consecutive days. Upon inactivity:

After one hundred eighty days (180) consecutive days of inactivity, your Account may be deactivated
Upon deactivation, all Rewards will be forfeited and cannot be recovered

You may reactivate a deactivated Account by logging in and earning new Rewards, subject to the then-current Terms.

5.7 Reward Expiration

Any Rewards that have not been redeemed within one (1) year from the date earned may expire and be removed from your Account. Expired Rewards cannot be recovered.

6. Third-Party Services and Partners

6.1 Third-Party Integrations

The Services incorporate functionality provided by third-party partners, including but not limited to:

Revenue Universe (offer wall)
Adjoe/Playtime Web (game rewards)
Google AdMob (video advertisements)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We encourage you to review these policies. We are not responsible for the content, practices, or availability of third-party services.

6.2 Third-Party Content

Offers, games, advertisements, and other content available through the Services may be provided by third parties. We do not endorse, warrant, or guarantee any third-party content, products, or services. Any interactions with third parties, including the terms of any transactions, are solely between you and the third party.

6.3 No Liability for Third Parties

We are not responsible for:

The accuracy, completeness, or quality of third-party offers or content
Technical issues, delays, or failures caused by third-party services
Offers not being credited due to third-party decisions
Any damages arising from your use of third-party services

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

7.1 Fraud and Manipulation

Using bots, scripts, or automated methods to complete offers or earn Rewards
Creating fake or duplicate accounts
Providing false or misleading information
Manipulating or attempting to manipulate the Services to earn Rewards unfairly
Using VPNs, proxies, or other tools to mask your location or identity
Exploiting bugs, glitches, or vulnerabilities in the Services

7.2 Terms Violations

Sharing your Account with others
Selling, trading, or transferring Rewards or Account access
Circumventing any security or access controls
Attempting to reverse engineer, decompile, or disassemble any part of the Services

7.3 Harmful Activities

Interfering with the proper functioning of the Services
Introducing viruses, malware, or other harmful code
Engaging in any activity that violates applicable laws or regulations
Harassing, threatening, or abusing other users or our staff

7.4 Consequences

Violation of these Terms may result in:

Suspension or termination of your Account
Forfeiture of all Rewards
Demand for repayment of any improperly obtained Rewards
Permanent ban from the Services
Legal action where appropriate

8. Intellectual Property

8.1 Ownership

The Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by HonestMoney or its licensors and are protected by intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

8.3 Restrictions

You may not:

Copy, modify, or distribute any part of the Services
Use any HonestMoney trademarks without prior written consent
Remove any copyright or proprietary notices
Use the Services for any commercial purpose

9. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Services, you consent to our collection and use of your information as described in our Privacy Policy.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, HONESTMONEY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF CONTENT
UNINTERRUPTED OR ERROR-FREE OPERATION

WE DO NOT WARRANT THAT:

The Services will meet your requirements
The Services will be available at all times
Rewards will always be credited correctly
Third-party services will function properly
Any errors will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONESTMONEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, OR GOODWILL
DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
DAMAGES ARISING FROM THIRD-PARTY SERVICES OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

The amount of Rewards you have redeemed in the twelve (12) months preceding the claim, OR
Twenty-Five United States Dollars ($25.00 USD)

Some jurisdictions do not allow limitations on certain types of damages. In such cases, our liability shall be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless HonestMoney and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Your violation of any applicable laws
Any content you submit or actions you take through the Services

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute not subject to arbitration shall be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to the exclusive jurisdiction of such courts.

14. Dispute Resolution and Arbitration

14.1 Mandatory Arbitration

You and HonestMoney agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, or your relationship with HonestMoney (collectively, “Disputes”) shall be resolved exclusively through binding individual arbitration, rather than in court, except that:

You may assert claims in small claims court if they qualify
Either party may seek injunctive relief in court for intellectual property infringement

14.2 Waiver of Class Actions

YOU AND HONESTMONEY AGREE THAT EACH PARTY MAY BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

14.3 Arbitration Procedures

Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona, or at another mutually agreed location. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

14.4 Pre-Arbitration Notice

Before initiating arbitration, you must send a written notice describing your claim to:

Both parties agree to attempt to resolve the dispute informally for at least thirty (30) days before initiating arbitration.

14.5 Opt-Out

You may opt out of this arbitration provision by sending written notice to [email protected] within thirty (30) days of first using the Services. Your notice must include your name, Account information, and a clear statement that you wish to opt out of arbitration.

15. Taxes

You are solely responsible for any tax obligations arising from your receipt of Rewards. Depending on applicable laws, your redemption of Rewards may be subject to federal, state, or local taxes. We may be required to report Rewards paid to you to tax authorities and may request tax information (such as a W-9 form) before processing redemptions exceeding applicable thresholds.

16. Communications

By creating an Account, you consent to receive communications from us via email, push notifications, and in-app messages. These communications may include:

Account notifications and alerts
Reward updates and redemption confirmations
Promotional offers and new features
Service updates and announcements

You may opt out of promotional communications through the App settings, but you may not opt out of transactional or account-related communications.

17. Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. This includes:

Changing Reward rates or earning opportunities
Adding or removing features
Modifying redemption options or thresholds
Terminating partnerships with third-party providers

We shall not be liable for any modification, suspension, or discontinuation of the Services.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HonestMoney regarding the Services and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, technical failures, or other force majeure events.

18.6 Survival

Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

20. App Store Provisions

20.1 Apple App Store

If you downloaded the App from the Apple App Store, you acknowledge that:

These Terms are between you and HonestMoney, not Apple
Apple has no obligation to provide maintenance or support for the App
Apple has no warranty obligations regarding the App
Apple is not responsible for addressing any claims related to the App
Apple and its subsidiaries are third-party beneficiaries of these Terms

20.2 Google Play Store

If you downloaded the App from the Google Play Store, you acknowledge that:

These Terms are between you and HonestMoney, not Google
Your use must comply with Google Play Store Terms of Service
Google is only a provider of the Google Play Store
HonestMoney, not Google, is responsible for the App
Google has no obligation or liability regarding the App
